ACCOUNTABILITY STATEMENT:
Ontario Northland is seeking a General Counsel to accommodate a retirement and the appointment of a new Chief Legal Officer.
The General Counsel will lead and manage the legal & realty department for the corporation to manage risk and ensure compliance with regulatory requirements. They will also provide legal advice to the Chief Legal Officer, senior management and the Board of Directors.
MAJOR DUTIES/ RESPONSIBILITIES:
Provide management and motivating leadership to the department
Model the organization’s mission, vision & values in working with the team
Oversee and delegate work to direct reports
Provide coaching, support and performance management to direct reports
Ensure timely delivery of services to internal and external clients
Develop and implement processes to manage tasks and work flows and for document management
Develop KPIs for department and track performance against the KPI’s
Manage an annual budget of approximately $1M
Provide legal advice on diverse areas of law, primarily focused on commercial matters
Draft agreements for the purchase of goods and services, construction projects, and for external services
Provide legal advice regarding realty issues and manage the realty portfolio
Review third party agreements and recommend amendments
Manage all third party and ONTC claims and litigation, in both administrative tribunals and courts
Manage and collaborate with external counsel and consultants
Review and respond to planning applications received from municipalities in the service area
Review municipal Official Plans through the MMAH One Window review process.
Manage the insurance portfolio
Provide advice and support and review documents for the procurement department
Provide advice on environmental issues
Continually monitor new developments in law, including caselaw and legislation
Provide training as required to both legal staff and internal clients to address new developments in specific legal areas
Implement and maintain the effective functioning of the contract management system
Provide support as required to the Chief Legal Officer
Liaise with Ministries and Ministry Legal as required
Ensure compliance with relevant government directives
REQUIREMENTS:
Membership in good standing with the Law Society of Ontario and licensed to practice law in Ontario
A minimum of ten years’ experience as a lawyer in a variety of practice areas and in both private practice and in house
Significant experience in a senior leadership role and managing direct reports, including other professionals
Specific experience in the following:
providing legal and governance advice to senior management and to a board of directors in the public sector, preferably with a provincial Ministry or agency
providing legal services in the areas of commercial law, litigation and administrative law, transportation law, construction law, land use planning, procurement, real estate, environmental and privacy
managing a corporate insurance portfolio, claims management and litigation
collaborating with and managing external counsel
strategic and business planning
building and managing a budget
policy drafting
managing a contract management system
Demonstrated political acuity and sound professional judgment to provide senior level legal services
Superior negotiation and problem-solving skills
Demonstrated client service, communication, consultation and presentation skills
Excellent legal research, analytical, reasoning and evaluation skills
Ability and commitment towards fostering collaborative working partnerships
Proficiency with business productivity and legal software
Bilingualism (English/French) considered an asset
